Why Do I Need a NonDisclosure Agreement?

A nondisclosure agreement (“NDA”) allows businesses to disclose confidential information to a prospective client or vendor without fear that the information will be shared or disclosed to others.  We help businesses with the preparation and negotiation of NDA agreements.

The Importance of an NonDisclosure Agreement

A clear and comprehensive NDA can prevent a company’s confidential and sensitive business information from being shared, posted, or used by others. Without an NDA, companies risk losing the competitive advantage offered by their trade secrets and proprietary information, which competitors can then use.  An NDA helps provide protection when meeting/negotiating with investors, manufacturers, and other third parties when confidential information will be discussed.

Don’t Fall For DIY, Free, or Generic Online Forms

Many company owners often try to minimize expenses by copying example forms and documents found online or by using inexpensive online services. However, the danger with cookie-cutter forms or “do it yourself” online services is that, if the NDA isn’t drafted in a comprehensive and clear manner, it may not adequately protect your interests.

Every situation is unique, and the NDA should be drafted in light of the specific nuances and concerns pertaining to each transaction. As such, the NDA requires careful review and drafting by experienced NDA attorneys.
